DEFINITIONS The following terms are defined as follows: Sale: the voluntary sale of furniture at public auction organized by Millon subject to these general terms of sale; Catalogue: list of Lots offered for Sale and information concerning them in any medium published by Millon; Lot: item or group of items offered for Sale under a single number in the Catalogue; Auctioneer: person appointed by Millon to receive bids during the Sale and to award the Lots; Seller: person who has mandated Millon to sell their property within the framework of the Sale; Reserve Price: price agreed between the Seller and Millon below which the Lot cannot be awarded; Absentee Bid: authorization given to Millon by any interested person to bid on their behalf on a specific Lot up to a specified amount; Irrevocable Absentee Bid: firm, final, irrevocable and unconditional offer to purchase a Lot issued by any interested person, with instructions given to Millon to bid progressively on their behalf up to the amount of this offer, without the Lot being able to be awarded to them at a price lower than this amount, and subject to specific financial conditions defined between the parties; Successful Bidder: the person who, directly or through an intermediary, placed the highest bid before the auctioneer closed the bidding, and the buyer of the lot awarded; Auction: the moment the sales contract is formed between the Seller and the Successful Bidder, upon the auctioneer closing the bidding, provided that the last bid made is equal to or greater than the Reserve Price; Hammer Price: the price paid "at hammer," the amount of which corresponds to the last bid made before the auctioneer closed the bidding and awarded the lot to the highest bidder; Auctioneer's Commission: fees payable by the Successful Bidder to Millon, corresponding to a percentage of the Hammer Price, plus applicable VAT; Sale Price: the sum of the Hammer Price and the Auctioneer's Commission; Digital Platforms: any online auction platform authorized by Millon to receive bids during the Sale, including "www.interencheres.com" and "www.drouot.com"; Telephone Bidding: bids placed in the auction room via a Millon staff member communicating by telephone with the bidder; Exclusively Online Bidding: bids placed without the bidder being able to attend the Sale in person, due to the lack of a dedicated room and the absence of a public viewing of the Lots. *The pearls have not been analyzed in a laboratory; therefore, the MILLON auction house makes no comment on their nature, whether they are fine or cultured. INFORMATION AND GUARANTEES All Lots are sold as is, in their current condition at the time of the auction, with all their potential defects and imperfections. The fact that the description does not include specific information on the condition of a Lot does not mean that the Lot is free from defects or imperfections. The information in the Catalogue is provided by Millon and the independent experts listed in the Catalogue, and may be modified by corrections, notifications, and/or declarations made before the Lots are auctioned and recorded in the minutes of the Sale. The information in the Catalogue, including characteristics, dimensions, colors, condition of the Lot, incidents, accidents, and/or restorations affecting the Lot, cannot be exhaustive, reflects the subjective assessment of the expert who provided it, and therefore cannot be sufficient to persuade any interested party to bid without having personally inspected the Lot, once it has been publicly exhibited. For all lots with a low estimate listed in the catalogue exceeding €2,000, a condition report will be made available to any interested party upon request. All information contained in this report remains subject to the individual's personal assessment. Civil liability claims arising from voluntary sales of furniture at public auction are subject to a five-year statute of limitations from the date of the auction, in accordance with Article L.321-17, paragraph 3 of the French Commercial Code. Lots marked with the symbol “°” contain elephant ivory or rhinoceros horn, the sale of which is unrestricted under the exemptions provided for in the decree of May 4, 2017, amending the decree of August 16, 2016, concerning the prohibition of trade in elephant ivory and rhinoceros horn within the national territory, and have been the subject of an intra-Community certificate required for their sale within the European Union, issued by the Regional and Interdepartmental Directorate for the Environment, Planning and Transport (DRIEAT). Lots preceded by the letter “J” will be sold by the company […], a bailiff, and will be subject to a judicial report and will incur legal sales fees of 12% excluding VAT of the hammer price (i.e., 14.40% including VAT), payable by the successful bidder. A currency conversion system may be available during the Sale. The equivalent values in other currencies of bids placed in the auction room in euros are provided for informational purposes only. BIDDER'S CHARTER: By participating in public auctions at MILLON, bidders, regardless of their nationality, agree to comply with Article 3 nonies of European Council Regulation 2022/428 of 15 March 2022 and its Annex XVIII, namely: The prohibition of the sale and any direct or indirect transfer to Russia of works of art, antiques, and collectors. This prohibition also applies to cars, wines and spirits, leather goods, clothing and textiles, precious stones, pearls and jewelry, jewelry, coins and silverware, porcelain, glassware and crystal, watches and musical instruments, as well as electronic and electrical goods. The unit value thresholds applied to this prohibition are as follows: Works of art, collectibles, and luxury items: from €300; Land vehicles: from €50,000 (€5,000 for motorcycles); Household electronics: from €750; Electronic sound and image recording devices: from €1,000. By participating in MILLON public auctions, bidders assume responsibility for any failure to comply with the above-mentioned obligations. MILLON is available for any further information: service-client@millon.com. DEPOSIT: Millon reserves the right to require a deposit from those wishing to place bids upon registration. The amount of this deposit will be automatically deducted by Millon up to the Sale Price if the successful bidder has not paid it within 15 days of the Sale. PURCHASE ORDERS AND TELEPHONE BIDS Purchase Orders and requests for Telephone Bidding are accepted and executed by Millon free of charge. Millon will endeavor to execute Purchase Orders and requests for Telephone Bidding submitted in writing up to two hours before the sale. Millon will not be held liable if, during Telephone Bidding, the telephone connection cannot be established or is interrupted. Although Millon is prepared to record requests for Telephone Bidding until the end of exhibition hours, it will not be held liable for the non-execution of requests submitted on the day of the sale. Telephone conversations during Telephone Bidding may be recorded. Any interested party may submit an Irrevocable Purchase Order to Millon, in consideration of which it may be agreed that the submitter will receive compensation, either a fixed sum or a sum proportional to the Hammer Price, should the Lot be sold to a third party at a price exceeding the bid amount. The Irrevocable Purchase Order will be indicated in the Catalogue if Millon receives it before the printed Catalogue is published, and will be noted before the auction of the Lot in question. Any bidder who receives advice from a third party regarding the purchase of a Lot subject to an Irrevocable Purchase Order must request that third party to disclose their financial interest in that Lot, and that third party is obligated to do so. Bidding or attempting to bid on a Lot subject to an Irrevocable Purchase Order while having a direct or indirect, permanent or temporary, community of interest with the person who placed the Irrevocable Purchase Order, and entering into a financial agreement with the latter that is likely to obstruct the bidding, is punishable by six months' imprisonment and a fine of €22,500, pursuant to Article 313-6 of the French Penal Code. Millon cannot be held liable for any interruption of a Digital Platform service during the Sale or for any other malfunction that may prevent a user from placing bids. The interruption of a Digital Platform service during the Sale does not necessarily justify the Auctioneer interrupting the Sale. In the context of simultaneous sales in the auction room and online, in the event of concurrent bids, the bid placed in the auction room takes precedence over the bid placed on a Digital Platform. BIDDING LEVELS AND AWARD Bid levels or increments are defined at the discretion of the Auctioneer in charge of the Sale. If the amount of a bid is deemed insufficient, inconsistent with the amount of the previous bid, or likely to disrupt the smooth running, fairness, and pace of the sale, the Auctioneer may decide not to take it into account. The Award is effected by the fall of the gavel and the pronouncement of the word "sold" by the Auctioneer and/or the display of the word "sold" in the context of auctions on Digital Platforms. The pronouncement of the word "sold" takes precedence over the display of the word "sold." If a bid is placed between the fall of the hammer and the pronouncement of the word "sold," the auctioneer will reopen the bidding. In the event of a dispute regarding the award of a lot, that is, if it is established that two or more bidders have simultaneously placed equivalent bids, either verbally or by gesture, and claim the lot at the same time after the word "sold" has been pronounced, the said lot will be re-auctioned at the price offered by the competing bidders, and all members of the public present will be allowed to bid again. BIDDERS' RESPONSIBILITY By placing a bid on a lot, directly or through an intermediary, bidders assume personal responsibility for paying the sale price plus any applicable duties or taxes. Bidders are deemed to be acting in their own name and on their own behalf unless otherwise indicated in writing to Millon before the sale. Subject to the decision of the authorized auctioneer, and provided that the final bid is equal to or greater than the reserve price, the highest bidder will become the successful bidder. The lots sold become the sole responsibility of the successful bidder from the moment of the auction. FEES PAYABLE BY THE BUYER The Buyer shall pay Millon, in addition to the Hammer Price, a Buyer's Premium equal to a percentage of the Hammer Price, decreasing in increments as follows: 25% excluding VAT (i.e., 30% including VAT*). Furthermore, the Hammer Price is increased as follows in the following cases: 3% excluding VAT (i.e., 3.6% including VAT*) for Lots acquired via the Live Digital Platform "www.interencheres.com" (see Terms and Conditions of the platform "www.interencheres.com"); 1.5% excluding VAT (i.e., 1.8% including VAT*) for Lots acquired on the Live Digital Platform "www.drouot.com" (see Terms and Conditions of the platform "www.drouot.com"); 3% excluding VAT (i.e., 3.6% including VAT*) for Lots acquired via the Live Digital Platform "www.invaluable.com" (see the Terms and Conditions of the platform "www.invaluable.com"). For fully online sales conducted exclusively via the "Drouotonline.com" platform, the buyer's premium is increased by 3% excluding VAT of the hammer price (see the Terms and Conditions of the Drouotonline.com platform). *Current VAT rate: 20%. APPLICABLE VAT REGIME: In accordance with Article 297-A of the French General Tax Code, Millon is subject to the VAT margin scheme. The sales slip given to the successful bidder will therefore not show the VAT (no mention of VAT excluding or including VAT, nor a breakdown of the VAT-inclusive portion of the acquisition costs). The VAT margin cannot be recovered by the buyer, even if they are a VAT-registered professional. By way of exception: Lots marked with an asterisk (*) will be sold under the standard VAT regime. In this case, VAT will be applied to the sum of the Hammer Price and the Auction Buyer's Premium at a rate of 20%. If the item sold is subject to the standard VAT regime, the amount will be indicated on the auction slip, and the VAT-registered buyer will be entitled to reclaim it, if applicable. PAYMENT OF THE SALE PRICE Public auctions are cash sales, and the successful bidder must pay the Sale Price immediately after the auction, regardless of their intention to remove the lot from French territory (see below, "Removal from French Territory"). The successful bidder must personally pay the Sale Price and, in particular, if paying from a bank account, must be the account holder. For any invoice payment exceeding €10,000, the source of funds will be claimed from the successful bidder in accordance with Article L.561-5, 14° of the French Monetary and Financial Code. Payment may be made as follows: In cash, for debts (as shown on the statement) totaling €1,000 or less when the debtor is a French tax resident or is acting for professional purposes, and for debts totaling €15,000 or less when the debtor proves they are not a French tax resident and are not acting for professional purposes. Payment in installments, with the amount due in cash up to the limit and the remaining balance paid by another method, is not accepted. In the event of the purchase of multiple lots, unless otherwise specified by the buyer at the time of partial payment, the buyer waives the benefit of Article 1342-10 of the French Civil Code and authorizes Millon to apply the partial payment to its various outstanding balances, in the interest of both parties and with due regard for the effectiveness of all sales contracts. LATE PAYMENT: Beyond 30 days following the Sale, any late payment will incur late payment penalties equal to three times the legal interest rate, as well as a fixed recovery fee of €40. Millon is subscribed to the TEMIS service allowing consultation and input of the file of restrictions on access to auction sales (“TEMIS File”) implemented by the company Commissaires-Priseurs Multimédia (CPM), S.A having its registered office at (75009) Paris, 37 rue de Châteaudun (RCS Paris 437 868 425). Any Sale Price remaining unpaid to Millon or subject to late payment is liable to be recorded in the TEMIS file. For further information, please consult the TEMIS data protection policy: https://temis.auction/statics/politique-protection-dp-temis.pdf DEFAULT OF PAYMENT In the event of default of payment, when the sale is cancelled or the item resold at auction in accordance with the provisions of Article L.321-14 of the French Commercial Code, the defaulting Bidder shall pay Millon a fixed indemnity equal to the amount of the Auction Commission owed, plus late payment penalties equal to 3 times the legal interest rate beyond 30 days following the Sale, as well as a fixed indemnity for recovery costs of €40. In the event of default of payment, when the item is resold at auction pursuant to the provisions of Article L.321-14 of the French Commercial Code, the defaulting bidder shall also pay Millon, acting on behalf of the seller, the difference between the first and second auction prices, if the latter is lower than the first, without prejudice to any damages that may be owed to the seller and Millon. Millon also reserves the right to offset any sums owed by the defaulting bidder or to cash any deposit checks. COLLECTION OF LOTS, INSURANCE, STORAGE AND TRANSPORT: Millon will only release the sold lots to the bidder after full payment of the sale price has been received. It is the successful bidder's responsibility to insure the Lots from the moment of the auction, as they assume all risks of loss, theft, damage, or other losses from that moment, in accordance with Article 1196 of the French Civil Code. Millon declines all responsibility for the damage itself, including damage to frames and glass, and for the successful bidder's failure to cover these risks. Successful bidders are advised to collect their Lots promptly. Display stands are not included with the Lot. DELAYED COLLECTION AND STORAGE Unless otherwise indicated, Lots must be collected from Millon's headquarters located at 19, rue de la Grange-Batelière, Paris (75009). Millon will provide free storage for 30 days following the Sale. After this period, storage and transfer fees from our premises to the Millon self-storage facility located at 116 Boulevard Louis Armand in Neuilly-sur-Marne (93330) will be charged as follows: €10 excluding VAT (€12 including VAT*) per lot per week for a volume exceeding 1 m³; €7 excluding VAT (€8.40 including VAT*) per lot per week for a volume less than 1 m³; €5 excluding VAT (€6 including VAT*) per lot per week for a volume "that fits in the palm of your hand". For sales entitled "Bargains", and all sales held at the Millon self-storage facility located at 116 Boulevard Louis Armand in Neuilly-sur-Marne (93330), free storage will not exceed 7 days from the date of the sale. Regarding sales in Auction Room VV (3, rue Rossini, 75009 PARIS), furniture, rugs, and bulky items will be transferred to Millon's storage facility located at 116, boulevard Louis Armand in Neuilly-sur-Marne (93330) and made available to the successful bidders after payment of the sale price. These conditions and fees do not apply to lots stored at the Hôtel Drouot warehouse, the cost of which depends on Hôtel Drouot itself (see section "Sales and Storage at Drouot"). *Current VAT rate: 20% TRANSFER FOR COLLECTION OUTSIDE THE STORAGE LOCATION Any request to transfer lots between the various Parisian addresses and/or Millon's storage facility will be invoiced: €15 excluding VAT (i.e., €18 including VAT*) per invoice not exceeding 5 small items; €40 excluding VAT (i.e., including VAT*) per delivery slip not exceeding 5 items and up to 1 m³. For larger purchases, any transfer request will only be processed after acceptance of a quote. Furniture is excluded from lots designated as "transferable by shuttle" but may be subject to a delivery quote. If the transferred lots are not claimed within 7 days of their registration at the destination premises, they will be returned to Millon's storage facility without refund, and the free storage period will resume from the day of the Sale. Long-term storage can be negotiated with Millon. The Hôtel Drouot Storage Service is independent of Millon. This service is subject to a fee, payable by the successful bidder (for information and to schedule a collection appointment: magasinage@drouot.com). SHIPPING OF PURCHASES Millon's logistics department offers delivery of Lots after the Sale in Paris and within a 40 km radius of Paris. All quote requests should be sent to: livraison@millon.com. For shipments outside this area, MILLON recommends using its partner carrier (THE PACKENGERS - hello@thepackengers.com). In any event, Millon is not responsible for the shipping, handling, and storage of the Lot during its transport by a third party. If Millon exceptionally agrees to handle the shipping of an item, it cannot be held liable for any loss, theft, or accidents, the risks of which remain the responsibility of the successful bidder. This shipping will only be carried out after receipt of a letter releasing Millon from its responsibility in this regard, and will be at the sole financial expense of the successful bidder, who must take out insurance for this purpose. EXCLUSIVELY ONLINE SALES The right of withdrawal applies to sales concluded following Exclusively Online Auctions between a professional seller and a consumer bidder as defined in the preliminary article of the French Consumer Code. The consumer has a period of fourteen days from the day after the date of receipt of the Lot which was awarded to him to exercise his right of withdrawal, and this period is extended to the next working day if it expires on a Saturday, a Sunday, a public holiday or a non-working day, in accordance with Article L.221-18 of the Consumer Code. The consumer exercises their right of withdrawal by informing Millon of their decision to withdraw by sending, before the expiry of the aforementioned period, the form attached to Article R.212-1 of the Consumer Code reproduced below: MODEL WITHDRAWAL FORM (Please complete and return this form only if you wish to withdraw from the contract.) This form must be sent to the following address: MILLON, 19 rue de la Grange Batelière, 75009 Paris. Within fourteen days of notifying their decision to withdraw, the consumer must return the Lot to the above address, at their own expense. The returned Lot must be in exactly the same condition as at the time of the auction. The return of the Lot and the withdrawal from the sale will be refused if it is not returned within the aforementioned fourteen-day period or if it is in a different condition than it was at the time of the auction. Millon will reimburse the Sale Price to the successful bidder on the day of receipt of the goods, or on the day of receipt of proof of shipment of the goods, in accordance with Article L.221-24 of the French Consumer Code. From the date of payment, the successful bidder has forty-eight hours to take delivery of their Lot. EXIT FROM FRENCH TERRITORY The export of a Lot from France may be subject to administrative authorization. The sale of the Lot to the Successful Bidder is final regardless of obtaining any administrative authorization required for its export, and any delay or refusal to grant such authorization will not justify cancellation or termination of the sale, nor any deferred payment of the Sale Price. The Successful Bidder is solely responsible for applying for administrative authorization to export their Lot. If the Successful Bidder requests Millon to initiate this application, the costs incurred will be borne by the Successful Bidder, and this service will be provided by Millon without any guarantee of success. Export formalities (applications for certificates for cultural property, export licenses, DRIEAT export permits) for Lots subject to these regulations are the responsibility of the Successful Bidder. EXPORT AFTER SALE In accordance with the Official Bulletin of Public Finances BOI-TVA-SECT-90-50, "exports of goods sold at public auction are exempt from VAT under Article 262-I of the French General Tax Code (CGI). The exemption is justified under the general legal conditions set out in BOI-TVA-CHAMP-30 et seq." The VAT collected on the Sale Price of the Lot can then be refunded to the Successful Bidder within the legal time limits upon presentation of the documents justifying the export of the lot in question. In this case, the buyer must provide Millon with proof of export by means of the export documentation duly certified by the customs office of exit from the European Union under the regulatory conditions (Article 74 of Annex III to the CGI or Article 24 ter of Annex IV to the CGI, as applicable) or, where applicable, another equivalent document. PRE-EMPTION OF THE FRENCH STATE The French State has, in certain cases defined by law, a right of pre-emption over works sold at public auction. In this case, the French State takes the place of the highest bidder, provided that the declaration of pre-emption made by the State representative in the auction room is confirmed within fifteen days of the sale. Millon cannot be held responsible for pre-emption decisions made by the French State. INTELLECTUAL PROPERTY The sale of a Lot does not entail the transfer of copyright, and in particular the rights of reproduction or performance of the work, of which it may constitute the physical medium. PERSONAL DATA Millon is committed to ensuring the protection of personal data collected in connection with the organization of public auctions, under the conditions defined by the privacy policy available on the Millon website at the following address: https://www.millon.com/infos-legales/confidentialite. Anyone placing or wishing to place a bid is invited to consult the privacy policy on the Millon website for information regarding the processing, collection, and storage of their personal data, as well as to learn about the extent of their rights. In the course of its auction activities, Millon may collect personal data concerning individuals placing or wishing to place bids, and those who win these bids. These individuals have the right to access, rectify, and object to their personal data by contacting Millon directly. Millon may use this personal data to fulfill its legal obligations and, unless the individuals concerned object, in the course of its business activities (including commercial and marketing operations). This data may also be disclosed to public authorities when required by law. DISPUTE RESOLUTION In the event of a dispute with Millon, any individual or legal entity may submit a complaint to Mr. Yves Micolet, Government Commissioner to the Auction Houses Council, by mail to 19, avenue de l’Opéra, Paris (75009), or online via the Auction Houses Council website (www.conseilmaisonsdevente.fr). MISCELLANEOUS PROVISIONS These General Terms and Conditions of Sale, the Sale and its consequences, including the sales contract formed at the close of the auction, are governed by French law. Bidders, successful bidders, or their agents agree that any dispute relating to the Sale shall be subject to the exclusive jurisdiction of the French courts. All provisions of these General Terms and Conditions of Sale are independent of each other, and the invalidity of one of these provisions shall not affect the validity of the others.
